Terms of Service

These Terms of Service ("Terms") govern your use of VocaNow, a vocabulary learning service provided by Useful Inc. ("we", "us", "Useful Inc.") at VocaNow.app. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use VocaNow. If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

• You sign in via Google or Apple. You are responsible for keeping access to that identity provider secure.
• You are responsible for activity that happens under your account.
• Notify us at support@useless.app if you believe your account has been compromised.

3. Acceptable use

You agree not to:

• Upload content you do not have the right to use, or content that infringes on intellectual-property, privacy, or other rights of third parties.
• Upload illegal, malicious, or harmful content, including malware, sexual content involving minors, or content that promotes violence or hate.
• Reverse engineer, scrape at scale, or interfere with the operation of the service or its security features.
• Resell, sublicense, or operate the service on behalf of third parties without our written permission.
• Use the service to circumvent quotas or evade billing.

We may suspend or terminate accounts that violate these rules.

4. Your content

You retain ownership of decks, words, definitions, files, and other content you create or upload ("Your Content"). You grant Useful Inc. a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and back up Your Content solely as needed to operate the service for you, including sending uploaded files to our extraction providers to generate vocabulary entries.

If you create a public share link for a deck, you grant a non-exclusive license to people with the link to view and copy that deck for personal study, until you revoke the link.

You are responsible for the legality of Your Content. If you upload material from a textbook or other copyrighted source, you are responsible for ensuring your use is permitted (for example, fair use for personal study).

5. Plans, payments, and refunds

• VocaNow offers a free tier and paid plans / import packs. Current pricing is shown in the app.
• Payments are processed by Lemon Squeezy, our merchant of record. Their terms also apply to the transaction.
• Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law (e.g., consumer-rights statutes in your region), payments are non-refundable. We may grant refunds at our discretion. Email support@useless.app for billing questions.
• If your payment fails, we may downgrade your plan or suspend paid features until payment is resolved.

6. Quotas and fair use

Each plan includes import and feature quotas as described in the app. We may rate-limit or temporarily restrict use to prevent abuse, protect the service, or comply with our upstream provider limits.

7. Service changes

We may add, change, or remove features. If we make a material change that significantly reduces a paid feature, we will give reasonable notice and, where appropriate, offer a prorated refund.

8. Termination

• You may stop using the service at any time. To delete your account, email support@useless.app.
• We may suspend or terminate accounts that violate these Terms, that pose a security or legal risk, or that have been inactive for an extended period.
• On termination, your right to use the service ends. Sections that by their nature should survive (intellectual property, disclaimers, liability limits, governing law) will survive.

9. Intellectual property

VocaNow, including its software, design, text, logos, and branding, is owned by Useful Inc. Except for the limited license to use the service under these Terms, no rights are granted to you in our intellectual property.

10. Disclaimers

VocaNow is provided "as is" and "as available". To the maximum extent permitted by law, Useful Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Vocabulary extraction is performed by automated AI models and may produce inaccurate, incomplete, or unexpected results; review before relying on it for study or instruction.

11. Limitation of liability

To the maximum extent permitted by law, Useful Inc. and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Our total liability for any claim arising out of or relating to the service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) USD $50.

12. Indemnification

You agree to indemnify and hold Useful Inc. harmless from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of [GOVERNING_LAW_JURISDICTION], without regard to conflict-of-laws rules. Any dispute arising out of or relating to the service or these Terms will be brought exclusively in the courts located in [VENUE], and you consent to the personal jurisdiction of those courts. Nothing in these Terms limits any non-waivable consumer rights you have where you live.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you in the app. Your continued use of VocaNow after changes take effect constitutes acceptance of the updated Terms.
